General conditions of use (GTU)

I. General

Seminarportal.de supplies users with names and information relating to various seminar providers that offer professional training for members of staff and management. This information is available on the internet under www.seminarportal.de.

II. seminarportal.de contractual partners liability

The contractual partner is held completely responsible for the information supplied about the seminar provider/content. He/she guarantees that the rights of a third party are not infringed and the material does not contravene applicable law, statutory or official regulations or offend common decency. He/she will ensure the all information featured is true: He/she is liable for any false information given. He/she will indemnify seminarportal.de in cases of third party claims caused by failure to comply with the aforesaid regulations. Seminarportal.de retains the right to remove seminar and/or provider information which fails to comply with the aforesaid conditions of use, e.g. any information from sects or with religious, sexist, right or left-wing extremist or hateful content. Furthermore seminarportal.de retains the right to check and possibly edit provider information. Seminarportal.de also retains the right to exclude providers from the database who repeatedly give false information or refuse to comply with editorial guidelines. Their material will simply be removed without prior warning. Contractual partners will be obliged to continue payment of the agreed sum unless it can proved that seminarportal.de acted erroneously.

III. seminarportal.de liability

seminarportal.de cannot be held liable for any disruption within the internet or its transmission. Possible damage claims are limited to the value of the registration fee. seminarportal.de will only be liable for indirect damage or loss of profit in cases where seminarportal.de legal representatives or assistants have been intentionally or grossly negligent. The client will be required to provide evidence of damage and proof of cause.

IV. Scope of services, commencement of contract and fees

It is a precondition that the seminar provider initially registers at seminarportal.de before he/she is able to add seminar entries to the seminar databank. This registration is free but does not mean that a contract has been established between the seminar provider and seminarportal.de. On successful completion of registration process the seminar provider will be sent a user name and a password. This data enables the seminar provider to register on the provider pages and to order the required number of seminar entries. The contractual partner will subsequently receive an automatically sent invoice by e-mail. When complete payment has been received, the requested number of entries for the particular seminar provider will become active. The contract only becomes valid when the requested number of entries in the seminar database is activated by seminarportal.de. In this way seminarportal.de can ensure that the concept - a target group-oriented seminar platform for medium-sized companies offering commercially relevant topics - is maintained. Seminarportal.de retains the right to refuse seminar providers with seminars based on other areas of interest (e.g. hobbies and free time). In cases like these any payment made will be refunded. If a written invoice is required seminarportal.de will charge a one-off €5 fee which must be transferred to the account stated on the invoice. Please indicate in the reason for payment box "additional invoice" and please ensure that the electronic invoice number is clearly indicated on the money transfer form.

The contractual partner has a right to the following services:

• Admission of his provider information to the database.
• Allocation of a password to allow independent entry and maintenence of his/her seminars, provider information and company logo.
• The database can be accessed online 24 hours a day. However, in exceptional cases, short delays may be experienced. These delays can occur during website maintenance or disruptions to the internet and are wholly beyond our control.

Once seminar entries have been stored and featured on the website they can no longer be modified. Seminars that have expired are automatically deleted from the database. Unless agreed otherwise the particular current price list is valid and can be located under "Prices".

V. Place of execution, jurisdiction and miscellaneous terms

Additional agreements, modifications and supplements must be in written form. Place of execution and jurisdiction is Frankfurt am Main. Should a clause in this contract be or become invalid then it is to be modified in such a way as to reflect the original intent. Federal German law applies.
